1. Acceptance of Terms By accessing our website (https://divi.exalted.co.in) or engaging Exalted Technology (“we,” “our,” or “us”) for digital services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our website or services.

2. Scope of Services Exalted Technology provides digital architecture, web development, design, SEO, and media production services. The specific scope, deliverables, timelines, and pricing for any project will be outlined in a separate Statement of Work (SOW) or formal project proposal agreed upon by both parties.

3. Client Responsibilities To ensure timely delivery, the client agrees to:

  • Provide all necessary access, assets, and information required for the project.
  • Respond to approval requests and feedback cycles within the agreed timeframes. Delays in providing assets or feedback may result in project timeline extensions.

4. Payment Terms & Billing

  • Deposits: All projects require a non-refundable upfront deposit as outlined in the project proposal before work commences.
  • Invoicing: Milestone payments must be cleared within the timeframe specified on the invoice.
  • Delays: We reserve the right to pause development, withhold deliverables, or take websites offline if payments are significantly delayed.

5. Intellectual Property Rights

  • Pre-existing Material: Both parties retain ownership of their respective pre-existing intellectual property.
  • Ownership of Deliverables: Upon full and final payment of all invoices, the client assumes ownership of the final deliverables (such as custom code, design assets, and finalized media).
  • Portfolio Rights: We reserve the right to showcase the completed work in our portfolio, case studies, and marketing materials unless a formal Non-Disclosure Agreement (NDA) is signed prior to the project start.

6. Revisions and Scope Creep Project proposals include a defined number of revision rounds. Any additional feature requests, design changes, or technical modifications outside the original agreed-upon scope will be considered “Scope Creep” and will be billed separately at our standard agency rate.

7. Warranties and Disclaimers

  • We deliver high-quality, industry-standard digital solutions. However, we do not guarantee specific business outcomes, including but not limited to exact search engine rankings, ad return on investment (ROI), or specific revenue figures.
  • Our services and website are provided on an “as is” and “as available” basis without any explicit or implied warranties.

8. Limitation of Liability In no event shall Exalted Technology, its directors, employees, or partners be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or business opportunities arising out of or related to our services. Our total liability to you shall not exceed the total amount paid by you for the specific project in dispute.

9. Termination Either party may terminate the project with written notice if the other party breaches a material term of the agreement. In the event of termination by the client, Exalted Technology shall be compensated for all work completed up to the date of termination. Upfront deposits remain non-refundable.

10. Governing Law These Terms shall be governed by and construed in accordance with standard business laws. Any disputes arising from these terms will be subject to exclusive jurisdiction in the courts applicable to our registered business entity.
